Registered agent requirements, state by state

Every state and DC requires an LLC or corporation to keep a registered agent at an in-state street address, staffed in business hours, with two exceptions. Pennsylvania asks for a registered office instead, and in New York the Secretary of State receives service, so an agent there is optional. Ours, through our partner Registered Agents Inc, is $74.25 a year in all of them. Pick your state for its rules and official portal.

$74.25 a year + $2.53 card processing fee at checkout: $76.78 due today.

The agent rule is the same almost everywhere (Pennsylvania and New York differ); the yearly calendar around it is not.

Each page: what the state requires, who can serve, the official portal, and how the agent fits that state's compliance calendar. Doing business in a second state? That state wants its own agent once you register there as a foreign LLC.

What the role actually involves

The same four things in every state. A commercial agent is paid to do them every business day; a friend or your own front desk does them until the first trip out of town.

1Be thereA street address in the state, with a person present in business hours. No P.O. boxes, no virtual mailboxes.
2Accept serviceSign for the summons and complaint. Service on the agent is service on the company; the clock starts that day.
3Forward fastGet the papers and every state notice to the owners at once. Ours are scanned to the dashboard and triaged by urgency.
4Stay currentKeep the name and address on the state registry accurate. A stale agent record is treated as no agent at all.

Who can serve, anywhere

Option 1

Yourself

Allowed in general if you have an in-state street address and are reliably there. Free, but the address is public and a process server can arrive in front of customers.

Option 2

A friend or employee

Works until they move, change jobs, or sign for a summons and forget to mention it. The lawsuit does not pause because the agent was a favor.

Option 3

A commercial agent

A staffed office whose only job is to be there. Notices scanned the day they arrive, your home address off the registry, each state's calendar tracked. Ours, through our partner Registered Agents Inc, is $74.25 a year.

Not legal advice. Each state sets its own eligibility details; they are on the official portal linked from every state page. Wondering whether a letter is real? Free notice triage. For one state’s rules in full, see what Florida law requires of a registered agent on our Compliance Desk.

What this is. A sourced reference page from Vermilion Vitez LLC, a filing-services company, not a law or accounting firm. Requirements described are the ones every state and DC share; state-specific forms, fees and statutes live on each official portal and are not reprinted here. Annual-report figures come from each state's published schedule. Confirm at the official site before relying on a date. Registered agent service is provided through our partner Registered Agents Inc, and only when you order it.

Choosing where to form is a different question from hiring the agent. Best state to form an LLC compares your home state with Delaware, Wyoming, and Nevada, including the second filing when you operate at home.

Frequently asked questions

Does every state require a registered agent?

Every state except New York, in substance. The other 49 states and the District of Columbia require an LLC or corporation to keep a physical street address on file in that state where service of process and official mail can be delivered. Most call it a registered agent. Pennsylvania calls it a registered office, and a Commercial Registered Office Provider can be listed in its place. New York makes the Secretary of State the agent for service of process for every LLC and mails papers on to the address on file, so a registered agent there is optional.

Do I need a registered agent in every state I do business in?

One per state where the company is formed or registered as a foreign entity, with two exceptions: New York, where an agent is optional, and Pennsylvania, which asks for a registered office. Each of the others wants an agent with an address inside its own borders. Our price is the same in every state, so multi-state companies pay per state, not per surprise.

Which states have no LLC annual report, and does that change the agent rule?

Alabama, Arizona, Missouri, New Mexico, Ohio, South Carolina ask LLCs for no yearly state report. The registered-agent requirement is separate and applies in all of them, every day the company exists.

Where do the state-by-state facts come from?

The registered-agent requirements described are the ones every state shares. Annual-report names, fees and dates come from each state's own filing site. State-specific change-of-agent forms, fees and statutes are linked to the official portal, not reprinted.

Is this legal advice?

No. Vermilion Vitez is a filing-services company, not a law firm. This is educational reference material (the last-verified date is at the top); confirm with the state or a professional before acting.
