| Legal term and statute | Missouri calls it a "registered agent" at a "registered office." RSMo 347.030.1 says every LLC must "have and continuously maintain in this state" both. | revisor.mo.gov |
| Who can serve | The agent can be an individual Missouri resident, or a domestic or foreign corporation authorized to do business in Missouri. In either case the agent's business office must be the same as the LLC's registered office (RSMo 347.030.1(2)). The Secretary of State says the registered office must be a physical location where process can be served. A P.O. box is allowed only alongside a physical street address in the same city. A retail mailing store such as a UPS Store cannot be the registered office. | sos.mo.gov |
| Changing the agent (LLC) | File Form Corp. 59, the Statement of Change of Registered Agent and/or Registered Office (the same form covers corporations and LLCs). The fee is $10. The new agent must sign a written consent on the form or attach one. The agent and address must be in Missouri. Send it by mail or in person to the Corporations Division, PO Box 778 / 600 W. Main St., Rm. 322, Jefferson City, MO. The change takes effect when the SOS files it (RSMo 347.030.2–.3). | sos.mo.gov |
| Agent resignation (separate filing) | Yes, resignation is a separate filing. The agent files Form LLC 6, the Statement of Resignation of Registered Agent of Limited Liability Company, for a $10 fee. A copy of the written notice sent to the LLC must be attached. The resignation takes effect 30 days after the SOS receives it, or sooner if a new agent is appointed (RSMo 347.030.6). | sos.mo.gov |
| If the LLC has no agent | Missouri law does not administratively dissolve an LLC for having no agent. Instead, under RSMo 347.033.3, while the LLC fails to appoint or keep an agent, the Secretary of State automatically becomes its agent for service. The SOS forwards any papers by registered mail to the organizer's address in the articles of organization, which may be out of date. | revisor.mo.gov |
| Who is served if the agent can't be found | Papers may be served on an 'authorized person' (a manager, or a member if the LLC is member-managed) instead of the agent. If neither the agent nor an authorized person can be found with due diligence, they may be served on an organizer. If none of them can be found, or no agent is kept, the Secretary of State is the agent for service. The SOS keeps copies for five years (RSMo 347.033.2–.3). | revisor.mo.gov |
| Missouri-specific rule | Missouri has a fallback chain that is unusual: service goes to the registered agent, then an authorized person, then the organizer, and only then the Secretary of State. Missouri LLCs also file no annual report, so the registered agent on file changes only when someone files Corp. 59 or LLC 6. | revisor.mo.gov |
| 2026 landlord-LLC affidavit | As amended effective 8/28/2026 (H.B. 2508), RSMo 347.048 requires LLCs that rent out or own vacant property in certain Missouri home-rule cities to file a free affidavit with the city clerk. The same applies in counties over one million people after repeated ordinance violations and a failed resolution attempt with the LLC's registered agent. The affidavit names a natural person with management control of the property. | revisor.mo.gov |
