Frequently asked questions

Why does my state need a formation date?

Twenty-six states set the annual report deadline on the anniversary of your formation, so the month and day you filed your articles decide the due date. Fixed-date states ignore the formation date entirely.

What happens if I miss the deadline?

Every state charges a late fee, and most move the entity to “not in good standing” after a grace period. Left long enough, the state administratively dissolves the company. Reinstatement costs more than the report would have.

Does this cover corporations and nonprofits?

The dates shown follow each state’s LLC rule. Most states use the same schedule for corporations, but some set a different date for corporations or nonprofit corporations. The linked state page is the final word.
