Are the deadline dates and fees guaranteed accurate?

They are our best current reading of each state's rules, and we flag the ones that vary by fiscal year or formation anniversary — but states change fees and dates without notice. Always confirm against your Secretary of State or state tax site before relying on a date. This tool is a calendar, not legal or tax advice.

What is the California dissolution-timing trap?

California's $800 annual tax applies to any LLC in existence on January 1, with no proration. If you decide to close in December but the certificate of cancellation does not post with the Secretary of State until January, you owe a full extra year. If you are winding down, file early enough for processing to complete before December 31.

Why does a dormant LLC still cost money?

Most states charge their annual fee for existing, not for operating. An LLC with zero revenue and zero activity still owes its state minimum every year until it is formally dissolved. If an entity has no future, dissolving it before the next trigger date stops the annual charge.
