New York registered agent: $74.25 a year

New York doesn't require a registered agent. Every New York LLC names the Secretary of State as its agent for service of process, and the state mails papers served there to the address the LLC has on file. Owners who want legal papers the day they're served can still name an agent. Through our partner Registered Agents Inc, ours is $74.25 a year, the same at renewal.

$74.25 a year + $2.22 card processing fee at checkout: $76.47 due today.

How New York handles service of process

Each rule links to its source in New York law or at the Department of State.

RuleWhat the official source saysSource
Agent for service of processThe Secretary of State is the agent for service of process of every New York LLC. The articles of organization must designate the Secretary of State as agent, or the LLC can't be formed (LLC Law §301(a)-(b)).nysenate.gov
How papers reach youService on the LLC is complete once the Secretary of State is served. The Secretary then sends a copy by certified mail, return receipt requested, to the post office address the LLC has on file for that purpose (LLC Law §303(a)(1)). If the LLC has an email address on file, process can also be served electronically, and the state emails a notice to that address (§303(a)(2)).nysenate.gov
Registered agent (optional)In addition to the Secretary of State, an LLC may designate a registered agent (LLC Law §302(a)). The agent must be a natural person who lives in New York or has a New York business address, or an LLC or corporation formed in or authorized to do business in New York (§302(b)).nysenate.gov
Keeping the mailing address currentThe address the Secretary of State mails process to stays in effect until the LLC files a certificate changing it (LLC Law §301(c)). Each biennial statement also sets out that address (§301(e)).nysenate.gov
Adding or changing an agentAn LLC adds, changes or revokes a registered agent, or changes its mailing address for process, by filing a Certificate of Change with the Department of State. The filing fee is $30.dos.ny.gov
Agent resignationA registered agent resigns by filing a certificate of resignation. The designation ends 30 days after it is filed, and the LLC can designate a new agent within those 30 days or later (LLC Law §302(d)-(e)).nysenate.gov

Who receives legal papers for a New York LLC

Default

The Secretary of State

Every New York LLC has this already, at no extra cost. Papers served on the Secretary of State are mailed to the address on file, so they can take days to reach you, and they go to an old address if you moved and never filed the change.

Optional

You or someone you know

A person who lives in New York or has a business address there can be named as registered agent. Their name and address then sit on the agent record, and papers wait whenever they are away.

Optional

A commercial registered agent

A staffed New York office that takes papers the day they're served. Notices are scanned to your dashboard, your home address stays off the agent record, and the New York calendar is tracked for you. Ours, through our partner Registered Agents Inc, is $74.25 a year.

When a notice reaches the agent and not you

A lawsuit proceeds without you

Service on the Secretary of State, or on your registered agent, counts as service on the company. If the papers sit in the mail or go to an old address, deadlines to respond run anyway, and the other side can ask the court to rule without hearing from you.

Good standing slips

State notices about New York filings, fees and agent problems go to the same address. Unanswered, they turn into penalties, loss of good standing and eventually administrative dissolution.

Real or junk?

Private mailers copy state seals to sell you things you do not owe. Run any notice through the free triage to see what needs action, what can wait, and what to bin.

How the agent fits New York's compliance calendar

The New York biennial statement is due every two years, in your formation anniversary month with a state fee of $9, and it restates the address the Secretary of State mails legal papers to. The first is due two years after the articles of organization were filed, and it should not be filed before that month. The annual filing-fee form (IT-204-LL) is separate and income-based.

An agent who scans the reminder the day it lands is the difference between filing on time and finding out from a late notice. Our dashboard tracks the New York date from the day you sign up. Exact due date, official filing link and free reminders on the New York annual report page.

Frequently asked questions

Does a New York LLC need a registered agent?

No. New York makes the Secretary of State the agent for service of process for every LLC, and the articles of organization must say so (LLC Law §301). When someone serves the Secretary of State, the state mails a copy to the address the LLC has on file (§303). Naming a separate registered agent is optional (§302). Owners add one because papers forwarded by mail from Albany can take days to arrive, and they go to an old address if the record was never updated.

Can I be my own registered agent in New York?

You don't need to name anyone; the Secretary of State already receives service for the LLC. If you do want a registered agent, it can be a person who lives in New York or has a New York business address, or a company authorized to do business in New York (LLC Law §302(b)). Your name and address then appear as the agent on the state's record.

How do I add or change a registered agent in New York?

File a Certificate of Change with the Department of State. The same filing changes the mailing address the Secretary of State forwards legal papers to. The state's filing fee is $30. To switch to Registered Agents Inc through us, our change-of-agent order form collects what the filing needs and we handle the paperwork.

Does the registered agent file the New York annual report?

Not automatically. The New York biennial statement is due every two years, in your formation anniversary month, state fee $9. With registered agent service through our partner Registered Agents Inc, we track that date on your dashboard and remind you; filing it is a separate order. See the New York annual report page for the official filing link.

What does your New York registered agent service cost?

$74.25 per year per company, the same in every state and the same at renewal. The service is provided through our partner Registered Agents Inc. Every notice the agent receives is scanned to your dashboard and triaged by urgency; legal notices are held for your review. Checkout adds a $2.22 card processing fee, so $76.47 is due today. Order through the registered agent order form; nothing is filed without an order.

Is this legal advice?

No. Vermilion Vitez is a filing-services company, not a law firm. This page is educational, sourced reference information (the last-verified date is at the top); confirm requirements on the official state site or with a professional before acting.
