| Agent resignation is a separate filing | The agent files INHS17, "Statement of Resignation of Registered Agent for a Limited Liability Company". The fee is $85 if the LLC is active, or $25 if it is administratively dissolved, voluntarily dissolved or withdrawn. The agent must mail a copy to the LLC. The resignation takes effect on the 31st day after filing, or earlier if a new agent is designated (s. 605.0115). | Consequence of no valid agent | The Department of State may administratively dissolve an LLC that fails to appoint and maintain a registered agent. It must first send a notice of intent, and the LLC then has 60 days to fix the problem (s. 605.0714(1)(c), (3), (4)). Allowed in general if you have a Florida street address and are reliably there in business hours. Free, but your address becomes public record, a process server can arrive in front of customers, and every trip out of town is a gap in coverage.
Works until it doesn't: they move, change jobs, or sign for a summons and forget to mention it. The lawsuit does not pause because the agent was a favor. You also need their Florida address on the public record.

Yes. Florida requires the agent to file a written acceptance saying they know and accept the duties of the role. For a new LLC it goes in the articles of organization. For a change of agent it goes in the statement of change (Fla. Stat. 605.0113(2), 605.0114(2)).
Since October 1, 2025, the registered office must be open and staffed for service of process at least 10 a.m. to 12 noon and 2 p.m. to 4 p.m. every day except weekends and legal holidays (Fla. Stat. 48.091(3)).
The Department of State can administratively dissolve the LLC after a notice and a 60-day chance to fix the problem (Fla. Stat. 605.0714). Until the LLC complies, it also cannot bring or maintain a lawsuit in a Florida court (605.0113(5)).
