What Nevada requires of a registered agent

From Nevada law and its filing office, each with its source: the term it uses, who can serve, the form to change agents, and what happens if the agent lapses.

RuleWhat the official source saysSource
Legal term and requiring statuteNevada uses "registered agent", which means either a "commercial registered agent" or a "noncommercial registered agent" (NRS 77.230, Model Registered Agents Act). NRS 86.231 requires every Nevada LLC to have a registered agent with a street address for service of process, and that address is the LLC's registered office. NRS 14.020(1) requires LLCs doing business in Nevada to appoint and keep a registered agent "who resides or is located in this State."leg.state.nv.us
Commercial vs. noncommercial agentsAnyone who serves as registered agent for 10 or more entities must register with the Secretary of State as a commercial registered agent (NRS 77.320(1), 77.040). The registration statement is signed under penalty of perjury. It must include felony and prior-revocation disclosures for the individual, or for each director, officer and managing agent of an entity agent. The Secretary of State may deny or revoke registration on those grounds (NRS 77.320(2), (6)). Any other agent is a noncommercial registered agent.leg.state.nv.us
Street address and staffing during business hoursFilings must give an actual street address or rural route box number in Nevada, plus a Nevada mailing address if different (NRS 77.300). Unless the address is the agent's home, it must be staffed during normal business hours. Staffing can be the agent or authorized people of suitable age and discretion. The LLC faces a fine of $100 to $500 for each day it fails to comply (NRS 14.020(3)-(4)).leg.state.nv.us
Changing the agent (filing, fee)The LLC files a statement of change under NRS 77.340, signed on the LLC's behalf. The fee is $60 (NRS 77.280(1)(a)). It must include the new agent's certificate of acceptance and takes effect on filing. Members and managers do not need to approve it. Alternatively, the LLC can amend its most recent registered agent filing (NRS 77.340(5)).leg.state.nv.us
Agent resignation is a separate filingThe agent files a statement of resignation. The fee is $100 for the first entity and $1 for each additional entity (NRS 77.280(1)(b)). It takes effect on the earlier of the 31st day after filing or the appointment of a new agent. The agent must notify the entity in writing and keep a copy of that notice for 1 year (NRS 77.370).leg.state.nv.us
Consequence of no valid agentIf the agent resigns (or a commercial agent terminates its registration) and the LLC does not file a statement of change before the resignation takes effect, the LLC "shall be deemed in default" (NRS 86.251(2)). A $75 penalty is added (NRS 86.272(3)). On the first day of the first anniversary of the month after the filing was due, the LLC's charter is revoked and its right to do business is forfeited (NRS 86.274(2)).leg.state.nv.us
If the agent can't be servedIf the LLC fails to appoint an agent, lets the agency lapse without filing a change, or the agent's street address is not staffed, process may be served on the Secretary of State (or a deputy) with a $10 fee. The plaintiff must first file a due-diligence affidavit and mail a copy to the last known address. The defendant then has 40 days to respond (NRS 14.030). Service on the listed agent stays valid for 3 years after the LLC goes into default or is revoked (NRS 14.020(2)).leg.state.nv.us
Certificate of acceptance requiredEvery appointment of a registered agent "must be accompanied by a certificate of acceptance of the appointment by the registered agent" (NRS 77.310(2)). This applies both at formation (NRS 86.161(1)(b)) and on a change of agent (NRS 77.340(3)).leg.state.nv.us
Annual list and state business licenseEvery Nevada LLC files an initial list and then an annual list of managers or managing members ($150 each), due by the last day of its anniversary month (NRS 86.263). It must also obtain and renew a state business license ($200 for an LLC) when it files the list (NRS 76.100, 76.130). Missing the license fee counts as failing to file the annual list. If an LLC has no place of business in Nevada, its registered agent's address is treated as its Nevada business location for the license (NRS 76.100(2)).leg.state.nv.us
Commercial agent penalties and recordsA person who violates NRS chapter 77 faces a civil penalty of up to $500 per violation, capped at $10,000 in total (NRS 77.447). The Secretary of State may examine registered-agent records (NRS 77.443). The agent's statutory duties include keeping the name and street address of a contact person for each represented entity (NRS 77.400(6)).leg.state.nv.us

Who can be the registered agent for a Nevada LLC

Option 1

Yourself

Allowed in general if you have a Nevada street address and are reliably there in business hours. Free, but your address becomes public record, a process server can arrive in front of customers, and every trip out of town is a gap in coverage.

Option 2

A friend, relative or employee

Works until it doesn't: they move, change jobs, or sign for a summons and forget to mention it. The lawsuit does not pause because the agent was a favor. You also need their Nevada address on the public record.

Option 3

A commercial registered agent

A Nevada office, staffed, whose only job is to be there. Notices are scanned the day they arrive, your home address stays off the registry, and the Nevada calendar is tracked for you. Ours, through our partner Registered Agents Inc, is $74.25 a year.

Not legal advice. Who may serve in Nevada is in the sourced table above.

When a notice reaches the agent and not you

A lawsuit proceeds without you

Service on the registered agent counts as service on the company. If the papers stop there, deadlines to respond run anyway, and the other side can ask the court to rule without hearing from you.

Good standing slips

State notices about Nevada filings, fees and agent problems go to the same address. Unanswered, they turn into penalties, loss of good standing and eventually administrative dissolution.

Real or junk?

Private mailers copy state seals to sell you things you do not owe. Run any notice through the free triage to see what needs action, what can wait, and what to bin.

How the agent fits Nevada's compliance calendar

The registered agent is the address Nevada writes to about the Nevada annual list + state business license, due the last day of your formation anniversary month with a state fee of $350. Annual list ($150) + state business license ($200).

An agent who scans the reminder the day it lands is the difference between filing on time and finding out from a late notice. Our dashboard tracks the Nevada date from the day you sign up. Exact due date, official filing link and free reminders on the Nevada annual report page.

Frequently asked questions

Does a new Nevada registered agent have to sign an acceptance?

Yes. Any appointment of a registered agent, at formation or on a change, must include a certificate of acceptance signed by the agent (NRS 77.310(2), 77.340(3)).

What does it cost to change or resign a Nevada registered agent?

By statute, a statement of change costs $60. An agent's statement of resignation costs $100 for the first entity and $1 for each additional entity (NRS 77.280). To switch to Registered Agents Inc through us, our change-of-agent order form collects what the filing needs and we handle the paperwork.

Can a Nevada registered agent use a home address?

The agent needs an actual Nevada street address. The requirement to staff that address during normal business hours does not apply when the address is the agent's home residence (NRS 77.300, 14.020(3)).

What happens if my Nevada agent resigns and I don't replace them?

If no statement of change is filed before the resignation takes effect, the LLC is deemed in default and owes a $75 penalty. Its charter is revoked if the default is not cured by the first anniversary of the month after the filing was due (NRS 86.251, 86.272, 86.274).

Does a Nevada LLC need a registered agent?

Yes. Nevada, like every state and DC, requires an LLC or corporation to continuously maintain a registered agent with a physical street address in Nevada who is available during normal business hours to accept service of process and official state mail. A P.O. box does not qualify.

Can I be my own registered agent in Nevada?

Generally yes, if you have a Nevada street address and someone is reliably there during business hours. The trade-offs: your home address becomes public record, a process server can appear at your door in front of customers or family, and a missed delivery while you travel can mean a lawsuit proceeds without your knowledge. Confirm eligibility on the official state portal linked above.

Does the registered agent file the Nevada annual report?

Not automatically. The Nevada annual list + state business license is due the last day of your formation anniversary month, state fee $350. With registered agent service through our partner Registered Agents Inc, we track that date on your dashboard and remind you; filing it is a separate order. See the Nevada annual report page for the official filing link.

What does your Nevada registered agent service cost?

$74.25 per year per company, the same in every state and the same at renewal. The service is provided through our partner Registered Agents Inc. Every notice the agent receives is scanned to your dashboard and triaged by urgency; legal notices are held for your review. Checkout adds a $2.22 card processing fee, so $76.47 is due today. Order through the registered agent order form; nothing is filed without an order.
