Does Your LLC Have to Register in a Second State?

As of October 3, 2026: an LLC formed in one state that is doing business in another generally must register there as a foreign LLC. That second registration usually asks for two things from you: a certificate of good standing from the home state (published fees run $0 to $50 across the 51 jurisdictions, verified September 2026) and a registered agent with an address in the new state ($74.25/year through our partner, one price in every state).

Each state writes its own qualification statute and its own exceptions, and the filing fee for the qualification itself is separate from the certificate and the agent. Confirm the rule for your specific state on its official portal before relying on this page.

What foreign qualification is

"Foreign" means a different state, not a different country. Your LLC is domestic in the state where it was formed and foreign everywhere else. Foreign qualification is the registration that puts a foreign LLC on the new state's records: a filing with the state's business agency, its state fee, and a registered agent with an in-state street address.

It is a registration, not a new company. Your LLC keeps its home state, its formation date, and its EIN. Most states also ask the home state to vouch for you, which is the certificate of good standing (some states call it a certificate of existence or status) the table below prices out.

When it is generally required

The legal test for "doing business" is set by each state and most statutes define it by what does not count rather than what does. Fact patterns that commonly push an LLC toward qualifying, stated in general terms:

  • A physical location in the state: an office, a storefront, a warehouse.
  • Employees who work in the state, including remote staff, where the state counts them.
  • Regular in-person work there: job sites, client premises, regular deliveries in your own vehicles.

Fact patterns that statutes commonly exclude from "doing business" (again in general terms — the exclusions list is where states differ most):

  • Selling into the state by mail or online with no physical presence.
  • A one-off or isolated transaction.
  • Simply holding membership in another entity formed there.

Borderline cases are a judgment call under that state's statute, not a question a comparison page can answer. If the pattern is ambiguous, read the state's statute or ask a licensed attorney in that state. Operating unregistered where qualification was required can mean penalties and can keep the LLC from filing suit in that state's courts until it registers.

The order of steps

  1. Decide the registration question first. Confirm against the new state's statute whether your activity requires qualifying. This page cannot make that call for you.
  2. Order the certificate of good standing from your home state. Most states want it recent. Fees and turnaround for all 51 jurisdictions are in the table below, each linked to the official portal.
  3. Appoint a registered agent with an address in the new state. The agent has to be in place before the filing, because the application names them. Through our partner Registered Agents Inc that is $74.25/year per state, the same at renewal; the per-state rules are on our registered agent pages.
  4. File the foreign LLC application with the new state and pay its qualification fee, which is separate from the certificate and the agent. The amount is on the state's own filing page.
  5. Track the new state's recurring filings. A foreign LLC picks up the new state's annual report and any state tax registrations that apply, on top of the home state's calendar.

What foreign qualification does not cover

State-law registration and tax obligations are separate questions with separate tests. You can owe sales-tax registration in a state without needing to foreign-qualify there, and the reverse. Foreign qualification questions

Is a foreign LLC a separate company?
No. It is the same LLC registered in an additional state. The entity keeps its formation state, formation date, and EIN. "Foreign" refers to any state other than the formation state, not another country.
Do I need to foreign-qualify if I only sell online into a state?
Commonly no: statutes typically exclude mail or online sales with no physical presence from "doing business." But each state writes its own exclusions, and a warehouse, employee, or repeated in-person work changes the answer. Check the state's statute before relying on the general rule.
What documents does the new state usually ask for?
Typically the foreign LLC application, a certificate of good standing from the home state (often required to be recently issued), and the name and address of a registered agent in the new state. The qualification filing fee is set by the new state and is separate from the certificate fee listed in the table on this page.
What happens if I skip registering?
States commonly impose penalties and may bar an unqualified foreign LLC from maintaining a lawsuit in that state's courts until it registers. Contracts the LLC signed usually remain enforceable by the other party. The specific consequences are in the state's statute.
Is foreign qualification the same as sales-tax nexus?
