Questions people ask before the bank

Why does the date on the Certificate of Good Standing matter so much?

Banks and lenders treat it as proof your company is currently in good standing, so most want it dated within the last 30 days (a few accept 60). We order it when you pay, and if you give us your bank date we check the issue date against it before it ships.

Can I use my registered-agent address as the business address?

Usually not. A registered-agent address is where legal notices go; banks ask for the address where the business actually operates, and many verify it. Put your real principal office on the form — it goes into the operating agreement and the cover checklist.

I lost my EIN confirmation letter. Can you get it for me?

No — the IRS only releases it to an authorized person of the company. Call the IRS Business & Specialty line at 800-829-4933, ask for a 147C letter, and have it faxed back during the call. Your pack includes the exact script and what to have in front of you.

Who has to sign the operating agreement?

Every member if it is member-managed; every manager (and usually the members) if it is manager-managed. The person signing the bank's forms must be someone the agreement names with authority to do so — that mismatch is a common reason applications stall.

Do you open the bank account?

No. We order and generate the documents banks ask for. Opening the account, and the decision to approve it, is between you and the bank. Non-resident owners can order the pack the same way; the bank's own requirements still apply.

What if my company is not in good standing?

The state will not issue the certificate until it is. If an annual report is missed or the company lapsed, reinstatement comes first; we will tell you rather than let the order sit.
