What Illinois requires of a registered agent

From Illinois law and its filing office, each with its source: the term it uses, who can serve, the form to change agents, and what happens if the agent lapses.

RuleWhat the official source saysSource
Legal termIllinois uses "registered agent" and "registered office." Every LLC must continuously maintain both in Illinois (805 ILCS 180/1-35(a)).ilga.gov
Who can serveThe agent must be an individual who lives in Illinois or another person authorized to transact business in Illinois (805 ILCS 180/1-35(a)). The registered office address must be a street and number or rural route number, and it must be the same as the agent's business office address (805 ILCS 180/1-36(b)).ilga.gov
How to change the agent or officeFile a Statement of Change of Registered Agent and/or Registered Office (Form LLC-1.36/1.37), fee $25 (805 ILCS 180/1-36; 180/50-10(15)). It takes effect when the Secretary of State files it. The SOS offers an online "LLC Change of Registered Agent and/or Agent's Office Address" service (apps.ilsos.gov/llcagentchange).ilga.gov
Agent resignationThe agent files Form LLC-1.35, Resignation of Registered Agent, fee $5. The agent must mail a copy to the LLC's principal office at least 10 days before filing, by registered or certified mail. The resignation can't take effect sooner than 30 days after filing. A new agent must be on record within 60 days (805 ILCS 180/1-35(c)-(d)).ilga.gov
ConsequenceThe Secretary of State may administratively dissolve an LLC that fails to appoint and maintain a registered agent in Illinois (805 ILCS 180/35-25(3)). Reinstatement costs $200 (180/50-10(12)).ilga.gov
Public recordThe LLC's annual report must list the registered office address and the name of the registered agent at that address (805 ILCS 180/50-1(a)(2)). The SOS Business Entity Search (apps.ilsos.gov/businessentitysearch) lets you search by registered agent name.ilga.gov
Service on the Secretary of StateThe Secretary of State is irrevocably appointed as the LLC's agent when it fails to appoint or maintain a registered agent, or when the agent can't be found with reasonable diligence at the registered office or principal place of business. The server delivers papers to the SOS, pays the fee, mails notice by registered or certified mail to the last registered office, and attaches an affidavit of compliance (805 ILCS 180/1-50).ilga.gov
Agent can move the office itselfA registered agent can change the registered office address of an LLC it represents by filing its own statement (805 ILCS 180/1-37).ilga.gov

Who can be the registered agent for an Illinois LLC

Option 1

Yourself

Allowed in general if you have an Illinois street address and are reliably there in business hours. Free, but your address becomes public record, a process server can arrive in front of customers, and every trip out of town is a gap in coverage.

Option 2

A friend, relative or employee

Works until it doesn't: they move, change jobs, or sign for a summons and forget to mention it. The lawsuit does not pause because the agent was a favor. You also need their Illinois address on the public record.

Option 3

A commercial registered agent

An Illinois office, staffed, whose only job is to be there. Notices are scanned the day they arrive, your home address stays off the registry, and the Illinois calendar is tracked for you. Ours, through our partner Registered Agents Inc, is $74.25 a year.

Not legal advice. Who may serve in Illinois is in the sourced table above.

When a notice reaches the agent and not you

A lawsuit proceeds without you

Service on the registered agent counts as service on the company. If the papers stop there, deadlines to respond run anyway, and the other side can ask the court to rule without hearing from you.

Good standing slips

State notices about Illinois filings, fees and agent problems go to the same address. Unanswered, they turn into penalties, loss of good standing and eventually administrative dissolution.

Real or junk?

Private mailers copy state seals to sell you things you do not owe. Run any notice through the free triage to see what needs action, what can wait, and what to bin.

How the agent fits Illinois's compliance calendar

The registered agent is the address Illinois writes to about the Illinois annual report, due the 1st day of your formation anniversary month with a state fee of $75.

An agent who scans the reminder the day it lands is the difference between filing on time and finding out from a late notice. Our dashboard tracks the Illinois date from the day you sign up. Exact due date, official filing link and free reminders on the Illinois annual report page.

Frequently asked questions

How much does it cost to change an Illinois LLC's registered agent?

$25 for a statement of change of registered office or registered agent, or both (805 ILCS 180/50-10(15)). To switch to Registered Agents Inc through us, our change-of-agent order form collects what the filing needs and we handle the paperwork.

Can my Illinois registered agent quit right away?

No. The agent must mail you notice at least 10 days before filing the resignation, and the resignation can't take effect until at least 30 days after filing. You then have 60 days to put a new agent on record.

What happens if my Illinois LLC has no registered agent?

The Secretary of State can administratively dissolve the LLC (805 ILCS 180/35-25). Also, anyone suing the LLC can serve the Secretary of State instead (180/1-50).

Is my Illinois registered agent's name public?

Yes. The annual report must list the registered agent and registered office (805 ILCS 180/50-1), and the Secretary of State's business entity search lets you search by registered agent name.

Does an Illinois LLC need a registered agent?

Yes. Illinois, like every state and DC, requires an LLC or corporation to continuously maintain a registered agent with a physical street address in Illinois who is available during normal business hours to accept service of process and official state mail. A P.O. box does not qualify.

Can I be my own registered agent in Illinois?

Generally yes, if you have an Illinois street address and someone is reliably there during business hours. The trade-offs: your home address becomes public record, a process server can appear at your door in front of customers or family, and a missed delivery while you travel can mean a lawsuit proceeds without your knowledge. Confirm eligibility on the official state portal linked above.

Does the registered agent file the Illinois annual report?

Not automatically. The Illinois annual report is due the 1st day of your formation anniversary month, state fee $75. With registered agent service through our partner Registered Agents Inc, we track that date on your dashboard and remind you; filing it is a separate order. See the Illinois annual report page for the official filing link.

What does your Illinois registered agent service cost?

$74.25 per year per company, the same in every state and the same at renewal. The service is provided through our partner Registered Agents Inc. Every notice the agent receives is scanned to your dashboard and triaged by urgency; legal notices are held for your review. Checkout adds a $2.22 card processing fee, so $76.47 is due today. Order through the registered agent order form; nothing is filed without an order.

Is this legal advice?

No. Vermilion Vitez is a filing-services company, not a law firm. This page is educational, sourced reference information (the last-verified date is at the top); confirm requirements on the official state site or with a professional before acting.

Registered in a nearby state too?

Each state where the LLC is formed or registered to do business as a foreign LLC needs its own in-state agent. Checking a name first? Illinois LLC name search. Opening a bank account?
