New Jersey Standing Certificate: $50, ordered online
New Jersey issues it as a Standing Certificate, ordered online from the New Jersey Department of the Treasury. The state fee is $50; the state does not publish a turnaround. It proves the LLC is current with the state on the day it is printed, so banks want one under 30 days old.

What it proves, and who will ask for it
A certificate of good standing is a one-page statement from the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services (Certification and Status Unit) that your LLC exists on the state’s records and is current on what the state requires of it. In New Jersey the official name is Standing Certificate. It does not say anything about taxes owed elsewhere, licences or lawsuits; it says the entity is in good standing with the filing office on the date printed.
Four people ask for it: the bank opening the business account, a lender underwriting a loan, another state’s filing office when you register the LLC there as a foreign entity, and a buyer or investor doing diligence. All of them want a recent one, because the certificate is a snapshot and a company’s status can change the day after it is printed.

| Official name | Standing Certificate, issued by the NJ Department of the Treasury, Division of Revenue and Enterprise Services (DORES), and certified under the seal of the State Treasurer. There are three types: Short Form Standing, Long Form Standing with Officers and Directors, and Long Form Standing with Charter Documents. | nj.gov |
| How to order | Online through the DORES Business Records Service at njportal.com, which offers all three types. Also by fax (609-984-6855), by mail (Certification and Status Unit, PO Box 450, Trenton, NJ 08646), or over the counter (33 West State Street, 5th Floor, Trenton, NJ 08608). Offline orders need the entity name and its 10-digit business ID. | nj.gov |
| Online delivery | Online orders give you download links on the confirmation page and by email. Documents are not mailed, and the links stay available for 30 days. Certificates not ordered online are sent by first-class mail. | njportal.com |
| Fees | Corporations and LPs: $25 for a short-form or long-form standing certificate. LLCs and LLPs: $50 short form, $100 long form. Expedited service within 8.5 business hours for fax, in-person or courier orders: $15 per transaction (corporations, nonprofits, LPs) or $25 per filing (LLCs, LLPs). Same-day service: $50, only for items marked with an asterisk (the LLC/LLP certificates). 2-hour service: $500 per document. 1-hour service: $1,000 per document. Certified copies: $25 per document. | nj.gov |
| What each version shows | Short form: legal status (active, dissolved, and so on), registered agent and address, state of formation, date of formation or authorization, and outstanding annual reports. Long form with officers and directors adds officers, directors or managers and the incorporator with address. Long form with charter documents adds the dates of amendments and changes. | nj.gov |
| Two years of unfiled annual reports | A corporation that does not file annual reports for two consecutive years can have its certificate of incorporation revoked by the State Treasurer after certified-mail notice (N.J.S.14A:4-5). A domestic LLC in the same position is moved to an "inactive list" but stays an LLC (section 26 of P.L.2012, c.50, the LLC annual report section). | pub.njleg.gov |
| Unpaid business taxes and tax clearance | DORES says businesses that fail to file annual reports for two consecutive years, or corporations that do not file business taxes, may be voided or revoked. Since 7/9/2020, revoked entities (and LLCs on the inactive list) need a Division of Taxation tax clearance certificate to reinstate if they file more than two years after revocation. | njportal.com |
| Online verification | Yes. DORES Certificate Validation checks any certificate that has a validation number under the printed State seal (or a Document Locator Number for a Certificate of Authority). It does not work for certificates with a gold embossed seal. | njportal.com |
| Apostille | DORES lists "All certificates (standings and Apostilles), each $25" under Notary Public Filing and Service ($5 per certificate for child adoptions). | nj.gov |
| Three versions, and LLCs pay double | New Jersey is the only one of these four states with short-form and long-form standing certificates. LLCs and LLPs pay twice the corporate price: $50 or $100 versus $25. | nj.gov |
| Business Registration Certificate is a different document | DORES also issues a Business Registration Certificate. It is proof of tax/employer registration for public contracting, not proof of entity standing. | nj.gov |
How to order it in New Jersey
Find the LLC on the state record
Open the official page and look the company up by name or file number. Check the status shown on the record: the certificate reports what the record says, so fix anything shown as delinquent before you order.
