Can I make my corporation an S corp?
A corporation is a C corporation unless it elects otherwise. An S corp is a tax election, not another kind of company. Form the corporation, get the EIN, then file IRS Form 2553 within 2 months and 15 days after start of the tax year the election takes effect (or any time in the prior tax year) 1.
We file Form 2553 for $165. Not sure it pays off? Run your own numbers in the LLC vs S corp calculator.
Should I form a corporation or an LLC?
Shares, a board and officers. The usual choice when you plan to raise money from investors or issue stock options.
Fewer formalities and flexible ownership. Often the simpler choice for one owner or a small team.
Leaning toward the LLC? Form an LLC instead. Raising venture money? Investors usually ask for a Delaware C corporation; see how to start a corporation in Delaware.
What happens after I order?
- You fill in the order form. The company name, the state, the directors and officers, and who owns what. You pick a package and see the exact total.
- We file the articles of incorporation. The state decides when it accepts them. When it does, your stamped copy goes to your dashboard.
- We generate the bylaws and the organizational resolution. They come from the answers you gave, so check them before you sign.
- You finish the setup. Hold the first board meeting, issue stock to the owners, get the EIN and open the bank account. The compliance calendar keeps the yearly deadlines in front of you.
We handle the filing. Running the corporation after that, with its minutes, stock records and annual reports, stays with you and your board.
What will my state charge?
Every state sets its own filing fee, reports and taxes. The state-by-state corporation guide lists the fee our checkout charges in all 50 states and DC, with a step-by-step page for each.
