1. A report was missed

Every state wants an annual (or biennial) report or franchise-tax filing — even from a company that made $0. Miss it and the late fees start: Florida adds $400 after May 1; Delaware adds $200 plus 1.5% a month.

2. The state dissolved it

Ignore it long enough and the state administratively dissolves or forfeits the company — no court, often just a letter to an old address. Contracts, bank accounts and your liability shield are all at risk while it stays that way.

3. Reinstatement fixes it

A reinstatement application plus every report year you owe, filed with the state's fees, restores the company — usually as if it never lapsed. That is the packet we prepare for you.

What the state charges

Our fee is $199 per company. State amounts below are from each state's own site and are charged at cost, on a separate invoice, once we confirm them for your company. Other states: we quote before filing.

Questions owners ask

Why was my LLC dissolved when I never closed it?

Most states dissolve or revoke a company that misses its annual report long enough — Florida after the third Friday of September, North Carolina 60 days after a notice, Louisiana after three consecutive missed reports. No court is involved, and the notice often goes to an old address.

What does it cost in total?

$199 to us, plus the state's reinstatement fee and each back-year report at cost. Florida is the clearest example: $100 to reinstate an LLC plus $138.75 per report year owed. We confirm exact amounts before filing.

Can I just form a new LLC instead?

Sometimes, but you lose the formation date, the EIN history, contracts and accounts in the old name — and some states still bill the old company. If a fresh start really is cheaper for you, we'll say so.

Already have a registered agent?

Keep them. If the state also requires a current agent to reinstate, we'll tell you; our Registered Agent Service is $74.25 a year if you need one.
