Twenty-two states set the annual report deadline from the date you formed the LLC, and they read it differently. Some want the report by the anniversary date itself, some on the 1st or the last day of the anniversary month, Hawaii and Wisconsin by the end of that calendar quarter, and Colorado by the end of the second month after it. Five file every two years, counted from the formation year. Alaska (January 2) and Kansas (April 15) file in the years that match it, even or odd. New York and Indiana file in your anniversary month, starting two years after formation, and DC files by April 1, starting the year after. California's first $800 payment is due by the 15th day of the 4th month after you file, then every April 15. Fixed-date states ignore the formation date; Iowa and Nebraska file by April 1 of odd-numbered years only.
Every state charges a late fee, and most move the entity to “not in good standing” after a grace period. Left long enough, the state administratively dissolves the company. Reinstatement costs more than the report would have.
The dates shown follow each state’s LLC rule. Most states use the same schedule for corporations, but some set a different date for corporations or nonprofit corporations. The linked state page is the final word.
