The LLC mistake most owners make
Filing the Articles of Organization is where the work starts. Three gaps account for most of the LLCs that fail to protect the people who filed them.
Skipping the operating agreement
Your state's default statutes take over. Banks reject you, partners dispute ownership, and courts have an easier time piercing the veil.
Mixing personal and business money
Running business expenses through a personal account undoes the protection the LLC exists to give you. It's the most common veil-piercing argument there is.
Never building business credit

Designate a registered agent
A physical in-state address is required. This is who receives legal and government notices for your LLC. Ours, through our partner Registered Agents Inc, is $74.25 a year, or name your own.
Keep up annual registration
Most states charge an annual fee to stay in good standing. Miss it and the LLC goes inactive — which voids the liability protection you paid for.
Get your local business licenses
Most cities and counties require one to generate revenue in their jurisdiction, and requirements differ between neighboring jurisdictions. Don't skip it.
Adopt an operating agreement
Not legally required in most states, but banks, investors and courts all expect it — and it is what keeps your liability shield credible.

State filing fees run from $35 in Montana to $520 in Massachusetts, so the all-in total is roughly $164 at the low end and $663 at the high end. Those are where most people cut corners, and where the problems start.
What is the state filing fee in my state?
Every state sets its own fee to file Articles of Organization and it is non-refundable once submitted. Montana is the cheapest at $35; Massachusetts is the most expensive at $520. Common ones: Texas $300, Florida $125, California $70, New York $205, Delaware $110, Wyoming $103, Nevada $436. The table above lists all 50 states plus DC, alongside the total you pay us. States change these without notice, so the total is always confirmed before you pay anything.
How long does it take?
Most states process online filings in 1–5 business days, with paid expedite options. The full setup — EIN, operating agreement, banking and an initial credit profile — usually takes one to two weeks done properly.
Do I need a registered agent?
Yes — every state requires one, with a physical in-state address that is on the public record. Whether you use ours is the optional part: in step 2 of the order you choose registered agent service through our partner Registered Agents Inc ($74.25/yr, the same at renewal) or name your own at no cost, and the total changes accordingly. For comparison, Northwest publishes $125 a year and LegalZoom $249 for the same service (checked 27 Sep 2026).
Home state or Delaware?
If you operate in your home state, form there. Filing in Delaware and then registering as a foreign LLC at home means paying twice for no real benefit to most small businesses. Delaware's advantages apply mainly to venture-backed companies chasing institutional investment.
Do I really need an operating agreement?
Most states don't require one, but every LLC should have one. It sets ownership, profit distribution, management authority and what happens when a member leaves. Without it your state's defaults govern your company, which may be nothing like what you agreed to — and banks and investors expect to see it.
Single-member or multi-member?
A single-member LLC has one owner; a multi-member LLC has two or more. Both give liability protection, but the operating agreement and the paperwork your bank asks for differ, and so do the tax filings. Ask a CPA how either one is taxed in your situation; we don't give tax advice. Choosing right at the start costs far less than amending later.
What if there's a mistake in my filing?
If your Articles are rejected or filed wrong because of an error on our end, we correct it and refile at no cost to you. State filing fees are non-refundable once submitted — that's the state's rule, not ours — but fixing our own mistake is always free.
