What a late LLC annual report costs, state by state

Miss the filing window and most states add a fee; a few start the clock on dissolution instead. We read each state’s own pages and printed only what we could confirm.

Short answer

Where a verified state adds a flat late fee, it runs from $10 a year in Hawaii to $400 in Florida, the steepest. Texas adds $50 a report plus 5% or 10% of the tax, and Delaware adds 1.5% interest a month on top of $200. Among the verified states, Nebraska has the fastest rule: an LLC not filed by June 16, 76 days after the April 1 due date, is dissolved.

Last checked Nov 5, 2026, on each state’s official page.

What happens if you miss it?

  1. The late fee is added

Some states add a flat amount, some a percentage of the tax. The table shows the figures we verified.

  2. The LLC loses good standing

Colorado marks it noncompliant, then delinquent if the report is still missing. Names and filings can be limited from there.

  3. The state dissolves or forfeits it

Nebraska dissolves an LLC not filed by June 16. Florida dissolves on the fourth Friday in September. Texas starts with a notice of intent to forfeit.

  4. Reinstatement

Florida charges $100 plus the fees and penalties due. Other states differ; see the table. How reinstating an LLC works.

Common questions

Which state has the highest LLC late fee?

Among the states we could verify, Florida at $400, from the Sunbiz LLC annual report help page. Delaware is next at $200 plus 1.5% interest a month, then Nevada at $175. A state marked “See the state’s page” may charge more; we did not guess.

What does “No late fee listed” mean?

It means the state’s fee page, which we read, shows the report fee and names no late fee. It is not a statement that none exists. Check the linked page and your state’s statute.

Why do some rows say “See the state’s page”?

We only print a figure we could read on the state’s own site. Where the page was blocked, unreadable or silent, the cell links to the official page instead.

Can the state dissolve my LLC for a missed annual report?

Yes, several do. Nebraska dissolves an LLC not filed by June 16, Florida on the fourth Friday in September, and North Dakota terminates it six months after the due date. Check your state’s row.

How do I fix a dissolved or forfeited LLC?

You file the past-due reports and a reinstatement with the state. See how reinstating an LLC works.

Is this legal advice?

No. It is general information from state pages as of Nov 5, 2026. Fees and rules change, so confirm on the state page linked in each cell before you rely on it.
