Business Toll-Free Line: Service Terms

These Service Terms cover the Business Toll-Free Line (the “Service”). They add to our Terms of Service and Privacy Policy. Vermilion Vitez LLC provides and bills the Service directly, using its underlying carrier. If these Service Terms conflict with the general Terms of Service on anything about the Service, these Service Terms control.

1. What the Service is

The Service includes a toll-free number assigned to your business account for as long as your subscription is active. The number starts with 833, 844, 855, 866, 877, or 888, and we do not promise any particular prefix or number. The Service works like this:

  • Inbound only. When someone calls your toll-free number, we forward the call to the US mobile or landline number you give us (your “Forwarding Number”), once you have verified it.
  • Whisper. Before connecting you, we play you a short announcement so you know it’s a business call. The caller doesn’t hear it.
  • Voicemail. Unanswered calls go to voicemail. We email the recording to the address on your account and show it in your member dashboard.
  • Call log. Your member dashboard lists your calls: caller number, date, time, duration, and whether you answered.

Not included: outbound calling, text messaging (SMS/MMS), a softphone or app, fax, porting a number in, and emergency calling (911). See Section 6.

2. Who can use it

  • The Service is for businesses and business use only, not personal, household, or consumer use. You must be at least 18, and you must be authorized to bind the business.
  • Your business must be located in the United States, with a US billing address and a valid US Forwarding Number.
  • You must give us accurate business information, including your EIN or state entity ID at signup, and keep it current. We may verify it before we activate a number, and at any time afterward.
  • One toll-free number per subscription. We can refuse or limit additional numbers (see Section 5).

3. Price, included minutes, and caps

  • $24 per month, billed in advance through Stripe, plus any taxes and regulatory fees described in Section 11.
  • 300 included minutes per billing cycle. A minute is connected call time on your line, including time a caller spends leaving voicemail, rounded up to the next whole minute per call. Unused minutes don’t carry over.
  • When the 300 minutes run out, new calls go straight to voicemail until your next billing cycle. There are no overage charges.
  • Fair-use and safety caps. To protect you and the network, we set automatic limits, including a maximum number of simultaneous calls, a daily-minute limit, and screening for calls that look automated or artificially generated. If traffic on your line crosses these limits or looks abnormal, we may send calls to voicemail, stop accepting calls, or suspend the Service, without notice. We’ll tell you when it happens and restore service once we’re satisfied the traffic is legitimate. Minutes from traffic we reasonably find fraudulent or artificial don’t count against your included minutes, and we won’t bill you for them unless you caused or allowed them.
  • Prices can change with at least 30 days’ notice by email. The new price applies from your next billing cycle after the notice period ends.

4. Acceptable use

You, and anyone who uses your line, must not use the Service to:

  1. Break any law, including laws on telemarketing, robocalls, caller ID, privacy, recording, or consumer protection.
  2. Receive or generate artificial or inflated traffic, including traffic pumping, access stimulation, calls generated to earn revenue from call volume, auto-dialed calls to your own number, or calls made to use up or resell minutes.
  3. Harass, threaten, defraud, or impersonate anyone, or use the number to pretend to be another business, a government agency, or a financial institution.
  4. Set a Forwarding Number that is international, premium-rate (for example 900 or 976), another toll-free number, a conference or chat line, or any number you aren’t authorized to use.
  5. Resell, sublicense, transfer, or advertise the number or the Service to anyone else, or offer the number for sale (see Section 5).
  6. Keep calls open unreasonably long, including any call to the same Forwarding Number that runs more than 4 continuous or cumulative hours in 24 hours.
  7. Do anything that violates our carrier’s acceptable use policy (telnyx.com/acceptable-use-policy). We’re required to pass those rules on to our customers.

If we reasonably believe you’ve broken this Section, we may suspend or end the Service right away, report the activity to our carrier, law enforcement, the FCC, or the industry traceback group, and cooperate with any investigation, including a traceback request. We don’t need to warn you first when the violation is serious or is happening now.

5. Your number: assignment, not ownership

  • You don’t own the toll-free number, and neither do we. Under FCC rules, toll-free numbers are a public resource. They’re assigned to a subscriber through a “Responsible Organization” (RespOrg) and can’t be bought or sold. Our carrier, Telnyx, acts as the RespOrg.
  • The number is assigned to your business for use with the Service while your subscription is active and in good standing.
  • No brokering or hoarding. You may not sell, offer to sell, lease, or transfer the number, or ask for numbers you don’t intend to use. Federal law prohibits both (47 CFR 52.107). We only reserve a number when you subscribe. We don’t hold a stock of numbers, and we never charge extra for a “better” number.
  • Number changes. We may need to change or reclaim a number if the law, the numbering administrator, our carrier, or a fraud or safety issue requires it. If that happens, we’ll try to give you notice and a replacement number. We aren’t liable for the cost of reprinting marketing materials.
  • When your subscription ends, the number is released (see Sections 7 and 12). Released numbers go into a mandatory “disconnect” period and then return to the national pool (47 CFR 52.103). We can’t guarantee you’ll get the same number back if you sign up again.

6. No emergency calling (911)

THE SERVICE CANNOT BE USED TO CALL 911 OR ANY OTHER EMERGENCY NUMBER.

The Service only receives calls to your toll-free number. It has no dial pad and can’t place outgoing calls. It will never connect you to 911, emergency services, or a public-safety answering point, and it doesn’t provide your location to anyone. Always keep another way to reach emergency services, such as your own mobile phone service. Toll-free numbers can’t be used for emergency communications under our carrier’s terms either.

You must acknowledge this Section separately at signup, with an unchecked checkbox you have to tick before you can pay: “I understand this service cannot reach 911 or other emergency services.” We keep a record of that acknowledgment.

7. Porting

You can ask to move (port) your number to another provider while your account is active and paid up, or within 30 days after your subscription ends, while the number is on hold. Contact admin@vermilionvitez.com and we’ll cooperate with a properly authorized request through our carrier before the number is released. If we don’t receive a valid port request within that window, the number is released.

Porting a number in to the Service isn’t offered.

8. Call recording and consent

  • Voicemail. The Service records voicemail messages that callers choose to leave. The greeting tells callers they’re leaving a message: “You have reached [your business]. Please leave a message after the tone.”
  • Live calls aren’t recorded by the Service.
  • You’re responsible for your own notices and consents. Florida (§ 934.03, Fla. Stat.), California, and several other states require the consent of every party to a call before it’s recorded. If any recording feature is added later and you turn it on, you’re responsible for giving any notice and getting any consent that applies to you and your callers.
  • Carrier fraud monitoring. Our carrier may automatically sample and analyze call audio to detect and prevent fraud. See the Business Toll-Free Line section of our Privacy Policy.

9. Availability and carrier dependency

  • The Service runs on third-party networks, including our underlying carrier Telnyx, other carriers, and your own mobile carrier. We don’t control those networks and don’t guarantee the Service will be uninterrupted, error-free, or available at any particular time. There’s no service-level agreement (SLA) and no service credits.
  • Calls may fail, drop, arrive with poor audio, or reach voicemail when you’re actually available. Your mobile carrier may label forwarded calls as spam, and caller ID may display differently than expected. Voicemail emails may be delayed or filtered.
  • We may do maintenance, change features, or change carriers without notice when needed to keep the Service running or to comply with law.
  • Don’t rely on the Service for anything where a missed call could cause harm to people or property.

10. Your account and data

11. Fees and taxes

  • We may add to your bill taxes, surcharges, and regulatory fees that apply to the Service or that our carrier passes on to us, which may include federal Universal Service Fund charges, state and local communications services taxes, and similar government-imposed or government-authorized charges. We show them as separate line items where the law requires it.
  • Any federal USF line item won’t be more than the law allows (47 CFR 54.712).

12. Cancellation, suspension, and termination

  • You can cancel anytime in the billing portal. Cancellation takes effect at the end of your current billing period. The Service keeps working until then; the number is then held for 30 days and released (subject to Section 7). We don’t give prorated refunds for partial periods, except where the law requires.
  • Non-payment. If a payment fails, we’ll try again and notify you. If it stays unpaid after those retries, the subscription ends and the number is held and released as described in Section 7.
  • We may suspend or end the Service immediately if you break Section 4 or 5, give us false information, create legal, regulatory, fraud, or network risk, or if our carrier or the law requires it. Otherwise, we’ll give 30 days’ notice if we discontinue the Service.
  • When the Service ends, we handle your data under the retention periods in our Privacy Policy.

13. Limitation of liability

To the fullest extent the law allows:

  • The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We aren’t liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, lost calls, missed opportunities, or data loss, even if we were told they were possible.
  • We aren’t liable for any failure to reach emergency services, since the Service doesn’t provide them (Section 6).
  • Our total liability for all claims related to the Service is limited to the fees you paid us for the Service in the 3 months before the claim arose.

14. Indemnity

You agree to defend and indemnify Vermilion Vitez LLC, and hold it harmless, against claims, fines, penalties, and costs (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Service Terms or of law, your callers’ claims about recording or notice, or content or traffic on your line.

15. Governing law and disputes

These Service Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, and by applicable federal communications law. Disputes are resolved under the Governing Law & Arbitration section of our Terms of Service.

16. Changes

We may update these Service Terms. We’ll post the new version and email active subscribers at least 30 days before any material change takes effect. If you keep using the Service after that, you accept the change. If you don’t agree, you can cancel before it takes effect.
