How to start an LLC for a winery
A winery needs federal approval from TTB before it makes wine for sale, and ownership is part of that review. Many wineries also own vineyard land. An LLC lets you separate the land, the production and the tasting room, and the formation documents are part of the TTB application.
Our registered agent is optional: $74.25 a year, the same at renewal. Questions first? Ray or Vinny picks up at (954) 470-8356.

Why winery owners form an LLC
Tasting room liability
Serving guests brings premises and over-service claims.
Land and crop risk
Vineyards carry land and crop risks that often belong in a separate land LLC.
Shipping to consumers
Direct-to-consumer shipping is licensed state by state.
An LLC keeps the company's debts and claims away from your personal assets when you run it as its own business: its own bank account, contracts signed in its name, and no mixing of money. It does not cover your own negligence, and lenders often ask for a personal guarantee. Insurance comes first.
Licenses and registrations for a winery
Federal items link to the agency's own page. State and local rules vary, so pick your state at the top for your state's business portal. Tick items off as you go; the list remembers your progress on this device.
- We do thisForm the LLC and get its EINAlmost every registration above asks for the company's legal name and EIN, so this comes first. We file the LLC with your state for $123.75 plus the state fee, and can get the EIN for $41.25; the IRS also issues it free online.
Insurance and taxes to plan for
Insurance
- Liquor liability
For tastings and events.
- Crop and property
Covers vines, barrels, tanks and inventory.
- Product liability
Covers claims from bottles sold.
Taxes
- Excise and inventory
Inventory accounting for aging wine is complex; set it up with a CPA early.
- Agricultural property tax
Vineyard land may qualify for agricultural valuation in your county.
Owners often hold vineyard land in one LLC and run the winery in another that leases the land and buildings. A claim against the tasting room then does not reach the land.

Frequently asked questions
What federal permits does a winery need?
A TTB basic permit and an approved bonded winery registration, plus a wine bond unless you qualify for an exemption, and label approvals before interstate sales.
Can I make wine at home and sell it?
No. Home winemaking for personal use is allowed, but wine made for sale must come from a TTB-approved bonded winery.
Do I need an LLC before applying to TTB?
In practice yes, since the application asks for the entity's formation documents and owner details.
Can my winery ship wine directly to customers?
In many states, with a permit from each state you ship to. Rules and taxes vary by state.
How much does it cost to form an LLC for a winery?
Your state's filing fee ($35 to $520 depending on the state) plus $123.75 if we file it, with the operating agreement included. Industry licenses, bonds and insurance are extra and set by each agency.
