Wyoming LLC: S corp or C corp?

Wyoming takes nothing from your income, and the state fee is the same whichever way you elect.

Short answer

Wyoming has no individual or corporate income tax, so choosing S corp or C corp changes your federal taxes only. The one state cost that follows your company is the annual license tax: $60 or $.0002 per dollar of Wyoming assets, whichever is greater. LLCs and corporations pay it on the same schedule.

What is different about Wyoming?

There is not much state tax to plan around in Wyoming. The state's official site says Wyoming does not possess an individual or corporate income tax, so there is no state S election form, no corporate rate and no tax on the salary or profit you pay yourself. The one entity-level charge comes with the annual report: a license tax based on the assets you hold in Wyoming. It is $60 or two-tenths of one mill on the dollar ($.0002), whichever is greater, and the Secretary of State applies the same schedule to profit corporations and LLCs. Your S versus C decision is a federal one.

Does Wyoming recognize a federal S corp election?

Wyoming has no tax on S corporation income, because it has no individual or corporate income tax. Your LLC taxed as an S corp files nothing extra for state income tax and uses no state S election form. It does owe the annual license tax, $60 or $.0002 per dollar of assets located and employed in Wyoming, whichever is greater. That tax is the same one an LLC taxed any other way would pay.

Does my LLC need a separate Wyoming election or form?

Wyoming has no state S election form because it has no income tax.2

What does Wyoming tax an S corp or LLC at the entity level?

  • Wyoming does not tax S corporation income because it has no individual or corporate income tax.3
  • A Wyoming LLC pays an annual license tax of $60 or two-tenths of one mill on the dollar of assets located and employed in Wyoming, whichever is greater; corporations use the same schedule.5
  • LLCs and profit corporations pay the same annual license tax: $60 or two-tenths of one mill on the dollar of Wyoming assets, whichever is greater.7

Is a Wyoming LLC taxed as a C corp ever better?

A Wyoming C corp pays no state corporate income tax, because Wyoming has none. The annual license tax is the only state charge tied to the entity: $60 or two-tenths of one mill on the dollar of assets located and employed in Wyoming, whichever is greater. A profit corporation uses the same schedule as an LLC, so choosing C status does not change that amount. Your dividends face no state individual income tax either.

Run your Wyoming numbers

No state cost eats into an S election in Wyoming. The license tax is $60 or $.0002 per dollar of Wyoming assets, and it does not change with the election. That leaves the federal math: self-employment tax saved against the cost of payroll and an S corp return. Wyoming does not move the break-even point in either direction.
